1. DEFINITIONS

"STEALTH" refers to the proprietary software, USB hardware device, and associated infrastructure provided by the Service Provider.

"Service Provider", "we", or "us" refers to Eric Lemieux, Individual Entrepreneur, registration №155785842, registered in Georgia.

"User" or "You" refers to any individual or entity accessing or using STEALTH.

"Service" refers to all software, VPN access, support, and related offerings provided through STEALTH.

2. SERVICE PROVIDER & INFRASTRUCTURE

The Service Provider is an Individual Entrepreneur (registration №155785842) registered under the laws of Georgia. These Terms, and any disputes, claims, or legal proceedings arising from them, are governed exclusively by the laws of Georgia and resolved through the courts or binding arbitration in Tbilisi, Georgia.

For transparency: web infrastructure is currently hosted in Switzerland, and backend relay infrastructure is currently hosted in Germany. Hosting locations may change without affecting these Terms.

3. NO-DATA ARCHITECTURE

STEALTH operates under a structural no-data architecture. This is not a policy, it is a technical design principle:

• We do not collect, log, store, or transmit IP addresses, browsing history, DNS queries, connection timestamps, bandwidth usage, or any metadata related to your activities.
• All cryptographic operations and data storage occur exclusively on your local hardware. We have no access to your encrypted data.
• We cannot decrypt, view, recover, or provide any user data to third parties, including governmental authorities, law enforcement agencies, or private entities.
• We cannot provide data we do not possess.

This architecture is immutable and non-negotiable. Any request for user data will be refused on technical impossibility grounds.

4. ELIGIBLE USE & ACCESS RESTRICTIONS

Access to STEALTH is restricted to vetted applicants operating in legitimate high-value environments. The Service is designed exclusively for:

• Licensed legal professionals handling confidential client communications
• Institutional asset managers overseeing cryptocurrency portfolios
• Registered businesses conducting lawful digital asset operations
• Individuals conducting lawful personal digital asset operations

Applications are subject to review and verification. We reserve the absolute right to refuse service, deny access, or terminate accounts without prior notice, explanation, or refund.

Prohibited Uses: You may not use STEALTH for any unlawful purpose, including but not limited to: money laundering, terrorist financing, fraud, ransomware operations, distribution of illicit materials, or any activity violating the laws of Georgia or international sanctions regimes.

5. USER OBLIGATIONS & RESPONSIBILITIES

You are solely and exclusively responsible for:

• Password Security: Your LUKS encryption password is your sole access credential. Loss, theft, or compromise of this password results in permanent, irreversible data loss. There is no recovery mechanism.
• Physical Security: Safeguarding your USB device against theft, loss, damage, or unauthorized access.
• Legal Compliance: Ensuring your use of STEALTH complies with all applicable laws in your jurisdiction.
• Account Activity: All actions taken using your STEALTH account, whether authorized or unauthorized.

We provide tools. You control outcomes. We accept no responsibility for user error, negligence, or misconduct.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service Provider's total aggregate liability is limited to the amount you paid for your annual subscription.
• We are not liable for: data loss, business interruption, lost profits, consequential damages, punitive damages, or any indirect harm arising from Service use.
• We provide the Service "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
• We do not guarantee uninterrupted service, error-free operation, or immunity from third-party attacks.

If you cannot accept these limitations, do not use this Service.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Service Provider, its operators, affiliates, and service providers from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any claim that your use caused harm to a third party

8. DATA REQUESTS & LEGAL COMPLIANCE

The Service Provider operates exclusively within jurisdictions that uphold strict confidentiality standards and reject compelled mass data retention.

In the event of a legal request for user data:

• We will refuse on technical impossibility grounds.
• We will provide documentation demonstrating our no-data architecture.
• We will not decrypt, access, or create data that does not exist.
• We will notify affected users if legally permissible.

We require legally valid, jurisdictionally enforceable requests supported by proper documentation.

9. SERVICE MODIFICATIONS & TERMINATION

We reserve the right to:

• Modify features, functionality, or pricing with 30 days' written notice to active subscribers.
• Suspend or terminate Service immediately for violations of these Terms.
• Discontinue Service entirely with 90 days' notice and prorated refunds.
• Refuse renewal or issue non-renewal notices at our sole discretion.

You may terminate your subscription at any time by ceasing use and destroying your USB device. No refunds will be issued for partial subscription periods.

10. PAYMENT, REFUNDS & RENEWALS

• Business / OTC Package: $6,000 USD per year, price locked for 3 years from activation date. Includes a dedicated server for the OTC organization and 5 encrypted USB keys. Additional keys available at $500 USD per unit.
• Client Access Package (referred by an OTC): $3,000 USD per year, price locked for 3 years from activation date. Operates on the referring OTC's dedicated server.
• Individual / Personal Package (direct, no OTC affiliation): $3,000 USD per year, price locked for 3 years from activation date. Operates on STEALTH's own network infrastructure, currently a single shared server, with additional servers deployed as demand grows.
• Payment Method: Cryptocurrency only (Bitcoin, Monero, USDT). All transactions comply with applicable anti-money laundering and know-your-customer regulations.
• Refund Policy: Full refund available within 30 days of purchase, only if the USB device is returned unopened and unused in its original condition. No refunds are issued after first boot, device activation, or any use of the Service.
• Renewal: Subscriptions do not auto-renew. You will receive renewal notices 60 and 30 days prior to expiration.
• Non-Payment: Failure to renew results in immediate VPN access termination and potential account closure.

11. INTELLECTUAL PROPERTY

STEALTH software, firmware, design, branding, documentation, and proprietary processes are protected by international copyright, trademark, and trade secret laws.

Prohibited Actions:

• Reverse engineering, decompiling, or disassembling the software
• Removing or altering proprietary notices
• Distributing, sublicensing, or reselling the Service
• Creating derivative works or competitive products

Violations will result in immediate termination and potential legal action.

12. FORCE MAJEURE

We are not liable for delays or failures caused by events beyond our reasonable control, including: natural disasters, cyberattacks, governmental actions, infrastructure failures, pandemics, wars, or acts of terrorism.

13. SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. Invalid provisions will be modified to reflect the original intent to the maximum extent permissible.

14. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and the Service Provider. They supersede all prior agreements, communications, or understandings, whether written or oral.
